We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

3. User Accounts

3.1 Account Registration

To use JotChain, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up-to-date

3.2 Account Eligibility

• Violate any applicable laws, regulations, or third-party rights
• Record meetings without obtaining proper consent from all participants
• Upload or share content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the service or servers
• Use the service to transmit viruses, malware, or other harmful code
• Scrape, copy, or reverse engineer any part of the service
• Use automated systems (bots, scrapers) to access the service without our permission
• Resell or redistribute the service without our written consent
• Remove or modify any proprietary notices or labels

5. Recording Consent and Legal Compliance

Important: You are solely responsible for complying with all applicable laws regarding recording conversations, including obtaining consent from all participants before recording any meeting.

Recording laws vary by jurisdiction. Some locations require all parties to consent to recording (two-party or all-party consent), while others require only one party to consent (one-party consent). You must:

• Understand and comply with the recording laws applicable to your location and the locations of all meeting participants
• Obtain all necessary consents before recording any meeting
• Inform all participants that a meeting is being recorded
• Not use JotChain to record conversations where doing so would be illegal

We provide tools to help you notify participants of recording, but you remain solely responsible for legal compliance.

6. Intellectual Property Rights

6.1 Our Intellectual Property

JotChain and all associated content, features, and functionality are owned by JotChain and protected by international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of our service
• Use our trademarks, logos, or branding without written permission
• Reverse engineer, decompile, or disassemble our software

6.2 Your Content

You retain ownership of all content you create, upload, or record using JotChain ("Your Content"). By using our service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Store, process, and transmit Your Content to provide the service
• Use Your Content to improve and train our AI models (in anonymized, aggregated form)
• Create backups and ensure service reliability

You represent and warrant that you have all necessary rights to Your Content and that it does not violate any third-party rights or applicable laws.

7. Subscriptions and Payments

7.1 Subscription Plans

JotChain offers various subscription plans with different features and pricing. Plan details and pricing are available on our website and may be changed at any time with notice to existing subscribers.

7.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). By subscribing, you authorize us to charge your payment method on a recurring basis.

7.3 Payment Methods

We accept various payment methods as indicated on our website. You must provide accurate and complete payment information and keep it up-to-date.

7.4 Refunds and Cancellation

You may cancel your subscription at any time. Upon cancellation:

12. Disclaimers and Limitations of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The service will meet your specific requirements
• The service will be uninterrupted, timely, secure, or error-free
• Transcriptions, summaries, or other AI-generated content will be accurate or complete
• Any defects or errors will be corrected

12.2 AI-Generated Content Disclaimer

JotChain uses artificial intelligence to generate transcriptions, summaries, and other content. AI-generated content may contain errors, inaccuracies, or omissions. You should review and verify all AI-generated content before relying on it for important decisions or purposes.

12.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOTCHAIN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Loss of goodwill or reputation
• Cost of substitute services

ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless JotChain and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the service
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your Content or any recording made without proper consent
• Any dispute between you and another user

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at grig@jotchain.com to attempt to resolve the dispute informally.

14.2 Arbitration Agreement

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the service will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted by a neutral arbitrator in accordance with the rules of [Arbitration Association to be specified] and the laws of [Jurisdiction to be specified].

14.3 Class Action Waiver

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms without restriction.

20. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
